PROPRIETARY INFORMATION AND SERVICES NON-DISCLOSURE AGREEMENT
The undersigned, (RECIPIENT)  acknowledge  and  agree  to  all  items  in  this
Proprietary  Information and Services Non-disclosure  Agreement ("AGREEMENT") 
in reference to all disclosures by GDK  Electronics and  his  employees  and 
representatives   (OWNER)  and  OWNERs' concepts, technology, drawings, devices,
 models, craft, and other information  regarding  the unique Anti-Hijack  
Device,   (herein under called the SERVICES).
The SERVICES are proprietary to OWNER and OWNER desires to keep such  
SERVICES  secret.   The undersigned RECIPIENT  desires  to observe the 
SERVICES and receive disclosure of information with respect  to  the  
SERVICES for the purpose  of  determining  if RECIPIENT  wishes  to  enter 
into a  business  relationship  with OWNER,  relating to SERVICES. RECIPIENT 
is willing to hold  in confidence any information it may receive or obtain 
with  respect to  the SERVICES in oral, written or graphic form or by  visual 
observation  or physical contact  (all of which  information  with respect to 
the SERVICES are herein after called  "INFORMATION"). The OWNER hereby 
identifies and declares that all INFORMATION  is proprietary  and is a trade 
secret regardless of the  timing  and nature of which INFORMATION is disclosed.
Now therefore,  in consideration of the disclosure by OWNER to the
RECIPIENT   and / or  RECIPIENTS  authorized  representatives of
INFORMATION with respect to the SERVICES the undersigned  agree
with OWNER as follows:
1.	INFORMATION will be disclosed by OWNER only  to  authorized 
representatives  of  RECIPIENT who are designated in  writing  by RECIPIENT  
and  approved  by OWNER  and who  have  executed  this AGREEMENT.
2.	The  undersigned will hold. in  confidence  all  INFORMATION received  
by  OWNER  and, except as may  be  expressly  permitted herein,  will not 
disclose any INFORMATION to others without  the prior written consent of OWNER.
3.	INFORMATION received by the undersigned will not be used  or exploited 
by the undersigned in any way.
4.	The undersigned may disclose INFORMATION to  employees  and authorized 
 representatives  of  RECIPIENT  but  only  to  those employees and authorized 
representatives who have a need to  know for  the purpose set forth in the 
preamble to this AGREEMENT  and then only after such employees and / or 
authorized  representatives have  executed a copy of this AGREEMENT.  
Prior to disclosure  of INFORMATION   to  employees  or  authorized  
representatives   of RECIPIENT   the  executed  copy  of  this  AGREEMENT   
shall   be immediately sent to OWNER.
